Terms and Conditions

These Terms and Conditions apply to all quotations, orders, sales, products, services, and use of the Elli Designs website.

By using our website, requesting a quotation, placing an order, or accepting goods or services from Elli Designs, you agree to be bound by these Terms and Conditions.

1. Company Information

Elli Designs supplies uniforms, workwear, corporate clothing, branded clothing, promotional items, printing, embroidery, branding, and related products and services.

Customers are welcome to visit our offices by appointment to discuss their requirements, view samples, and receive assistance from our team.

2. Quotations

All quotations issued by Elli Designs are valid for the period stated on the quotation. If no validity period is stated, the quotation will be valid for 7 days from the date of issue.

Prices may change without notice due to supplier price increases, stock availability, exchange rate changes, material costs, courier fees, or any other cost changes outside our control.

A quotation does not confirm stock availability. Stock is only secured once the required payment or deposit has been received and the order has been accepted by Elli Designs.

3. Orders

Orders must be confirmed in writing by email, WhatsApp, signed quotation, purchase order, or any other written confirmation accepted by Elli Designs.

The customer is responsible for checking that all order details are correct before confirming the order, including:

• Product description

• Quantities

• Sizes

• Colours

• Branding details

• Artwork

• Delivery address

• Contact details

• Any special instructions

Elli Designs will not be held responsible for errors where incorrect information was supplied or approved by the customer.

4. Deposits and Payment

A deposit or full payment may be required before any order is processed, depending on the type and value of the order.

For custom-made, branded, printed, embroidered, or specially sourced items, production will only begin once the required deposit or full payment has been received and all artwork or order details have been approved.

Payment terms, where applicable, must be agreed to in writing. Elli Designs reserves the right to withhold goods or services until payment has been received in full.

Goods remain the property of Elli Designs until fully paid for.

5. Artwork, Branding, and Customer Approval

For branded, printed, embroidered, sublimated, or customised products, the customer must approve all artwork, layouts, spelling, colours, logos, sizing, placement, and design details before production begins.

Once artwork or design approval has been given, Elli Designs will not be responsible for any errors, including spelling mistakes, incorrect logos, incorrect colours, incorrect placement, or incorrect information that was approved by the customer.

Colours shown on screens, digital proofs, or printed samples may vary slightly from the final product due to screen settings, fabric types, printing methods, lighting, and production processes.

6. Custom-Made and Special Order Items

Custom-made, branded, printed, embroidered, altered, specially manufactured, or specially sourced items are made according to the customer’s specific requirements.

These items cannot be cancelled, returned, exchanged, or refunded once production or sourcing has started, unless the goods are defective due to a proven fault by Elli Designs.

This includes, but is not limited to:

• Branded clothing

• Embroidered items

• Printed items

• Sublimated products

• Custom uniforms

• Special-size items

• Special-colour items

• Specially sourced products

• Products manufactured to customer specifications

7. Lead Times and Delivery

Any lead times provided are estimates only and may vary depending on stock availability, supplier delays, courier delays, production capacity, artwork approval, payment delays, or circumstances beyond our control.

Elli Designs will make every reasonable effort to meet estimated delivery dates, but we will not be held liable for delays outside our control.

Delivery fees, courier charges, insurance, or special delivery requirements may be charged separately unless otherwise stated in writing.

Risk in the goods passes to the customer once the goods are collected by the customer, delivered to the customer, or handed over to a courier or transport provider.

8. Collection of Orders

Customers must collect completed orders within a reasonable time after being notified that the order is ready.

Elli Designs will not be responsible for loss, damage, or deterioration of goods that are not collected within a reasonable period after completion.

Storage fees may be charged for orders not collected within 30 days of notification.

9. Returns, Exchanges, and Refunds

Returns, exchanges, or refunds will only be considered where goods are defective, incorrectly supplied, or where required by applicable law.

The customer must inspect all goods on receipt and report any defects, shortages, or incorrect items in writing within 7 days of receiving the goods.

Goods must be returned unused, unwashed, undamaged, and in their original packaging where applicable.

Elli Designs will not accept returns or exchanges for:

• Custom-made items

• Branded items

• Printed or embroidered items

• Special order items

• Items damaged through misuse, negligence, incorrect washing, or normal wear and tear

• Items where incorrect sizes or details were supplied by the customer

• Items that have been altered or used

Where a valid defect is confirmed, Elli Designs may, at its discretion and where allowed by law, repair, replace, exchange, or refund the goods.

10. Product Variations

Due to manufacturing processes, fabric batches, supplier changes, and branding methods, slight variations may occur in colour, texture, sizing, finish, or product appearance.

Such minor variations will not be considered defects unless they materially affect the use or quality of the product.

11. Samples

Samples may be provided or made available on request, subject to availability and payment where applicable.

Samples are used to show general product style, quality, or branding options. Final bulk orders may have slight differences due to fabric batches, supplier stock, or production processes.

12. Customer-Supplied Goods

Where a customer supplies their own garments or products for branding, printing, embroidery, or alteration, Elli Designs will take reasonable care during production.

However, all customer-supplied goods are supplied at the customer’s own risk. Elli Designs will not be held liable for damage, loss, colour changes, shrinkage, or production issues that may occur during branding or handling, unless caused by proven gross negligence.

13. Limitation of Liability

Elli Designs will not be liable for any indirect, special, or consequential loss, including loss of profit, loss of business, loss of opportunity, reputational damage, or delays caused by circumstances beyond our control.

Our liability, where legally permitted, will be limited to the value of the goods or services supplied in relation to the specific order.

14. Website Use

The content on this website is provided for general information purposes only. While we make every effort to keep information accurate and up to date, errors may occur.

Elli Designs reserves the right to update, change, or remove website content, product information, pricing, or these Terms and Conditions at any time without prior notice.

Unauthorised use, copying, reproduction, or distribution of website content, images, designs, text, or branding is not permitted without written consent from Elli Designs.

15. Intellectual Property

All logos, artwork, designs, images, text, product layouts, website content, and marketing material created by or for Elli Designs remain the intellectual property of Elli Designs unless otherwise agreed in writing.

The customer confirms that they have the legal right to use any logos, images, trademarks, artwork, or content supplied to Elli Designs for branding or production.

The customer indemnifies Elli Designs against any claims arising from the unauthorised use of logos, trademarks, copyrighted material, or intellectual property supplied by the customer.

16. Personal Information and Privacy

Elli Designs respects your privacy and processes personal information in accordance with the Protection of Personal Information Act, 4 of 2013.

Personal information may be collected and used to process enquiries, quotations, orders, deliveries, payments, customer communication, and legal or accounting requirements.

17. Force Majeure

Elli Designs will not be held liable for failure or delay in performing any obligation where such failure or delay is caused by events beyond our reasonable control.

This may include, but is not limited to, supplier delays, transport delays, strikes, load shedding, power failures, natural disasters, acts of government, material shortages, import delays, civil unrest, or any other event outside our control.

18. Governing Law

These Terms and Conditions are governed by the laws of the Republic of South Africa.

Any disputes arising from these Terms and Conditions, quotations, orders, products, services, or website use will be dealt with in accordance with South African law.
